This Code of Business Conduct and Ethics (the “Code”) applies to all of Mainthia Technologies Inc. (MTI), referred to below as “our Company.” Each employee of our Company is expected to read this Code and demonstrate personal commitment to the standards set forth in this Code.

Our Company intends not to just comply with legal requirements but to conduct its business with the highest level of honesty and integrity. Every employee is expected to act in good faith and with integrity in the performance of his/her responsibilities. We further expect each employee to help us maintain appropriate compliance procedures and to use sound, ethical judgment in all business transactions.

Intellectual Property: Employees should help keep our Company’s trade secrets and other nonpublic information confidential, and limit access to nonpublic information to only those authorized to use it in their official duties.

To Our Communities
We respect our employees’ involvement in community, charity and political activities so long as these activities do not interfere with responsibilities to our Company, whether by usurping attention during work hours, demanding use of company assets, or creating conflicts of interest. In any case, no employee may represent that the employee’s views or activities represent our Company’s views. Our employees further must not engage in any unwanted solicitations or pressure toward other employees relating to charitable, religious or political causes.

Competition
We are committed to compete effectively, but lawfully, in our business markets.

Employees are expected to disclose to appropriate management any situations that may involve conflicts of interest affecting them personally or affecting other employees or those with whom we do business. Employees are further expected to remove themselves from business situations in which they have an actual or apparent conflict of interest.

Legal Compliance Generally
We expect our employees to comply with all applicable laws and regulations affecting our Company and its business.

Intellectual Property Laws
We expect our employees to conduct our business and use our business systems and facilities in ways that avoid any violations of copyright, trademark, service mark, patent, trade secret or other intellectual property rights held by third parties.
